This Mobile Application End User License Agreement ("Agreement") is a binding agreement between you ("End User" or "you") and Formora LLC ("Company"). This Agreement governs your use of the Kloset Mobile Application (including all related documentation and associated website, collectively, the "Application" or "Service"). The Application is licensed, not sold, to you.
BY CLICKING "AGREE" AND DOWNLOADING, INSTALLING, OR USING THE APPLICATION, YOU:
- ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT;
- REPRESENT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; AND
- ACCEPT THIS AGREEMENT AND AGREE TO BE LEGALLY BOUND BY ITS TERMS.
IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THE APPLICATION.
1. Introduction
Kloset allows users to catalog their wardrobe, create outfits, and interact with content and services provided by the Company. This Agreement explains your rights and responsibilities when using the Application.
2. Registration, Termination, and Account Security
- Some features require creating an account with accurate and current information.
- You are responsible for maintaining account confidentiality and for all activity under your account.
- Notify Formora LLC immediately of any unauthorized access or security breach.
- Accounts may be suspended or terminated for violations of this Agreement, illegal activity, or misuse of the Application.
- Child Protection: The Service is not intended for users under 13 years old. Personal data from children under 13 will not be knowingly collected; if discovered, it will be promptly deleted.
3. License Grant
Subject to this Agreement, Formora LLC grants you a limited, non-exclusive, non-transferable license to:
- Download, install, and use the Application for personal, non-commercial use on a single device.
- Access and use the content and services provided through the Application.
4. Acceptable Use and User Restrictions
You agree not to:
- Use the Application for illegal, harmful, or unauthorized purposes.
- Interfere with, disrupt, or compromise the Application or its servers.
- Upload content that is obscene, defamatory, infringing, or otherwise objectionable.
- Violate any laws, regulations, or third-party rights.
- Collect information from other users without consent or misuse your account credentials.
5. User-Generated Content
- User content includes photos, outfit ideas, and other material you upload ("User Content").
- By submitting User Content, you grant Formora LLC a non-exclusive, worldwide, royalty-free license to use, display, modify, and distribute your content in connection with the Application.
- You represent and warrant that you own or have rights to all User Content and that it does not infringe third-party rights.
6. Intellectual Property
The Application, including software, designs, logos, text, graphics, and content, is the property of Formora LLC and its licensors.
You may not copy, modify, distribute, or create derivative works except as expressly authorized.
7. Collection and Use of Information
- Formora LLC may collect device and usage information automatically (e.g., cookies, analytics).
- Personal information you provide is governed by our Privacy Policy.
- By using the Application, you consent to such collection and use in accordance with applicable laws (including PIPEDA and CCPA for North American users).
8. Payments, Subscriptions, and In-App Purchases
- Any purchases, subscriptions, or premium features are subject to payment terms and refund policies within the Application or platform store.
- You agree to pay all applicable fees and taxes. Transactions are final unless otherwise stated.
9. Updates
Formora LLC may provide updates, bug fixes, and new features. Updates may install automatically or require your consent depending on device settings.
10. Third-Party Materials
- The Application may link to third-party content or services.
- Formora LLC is not responsible for third-party content; access is at your own risk.
11. Disclaimers
- The Application is provided "as-is" without warranties, express or implied, including merchantability, fitness for a particular purpose, title, or noninfringement.
- Formora LLC is not responsible for User Content uploaded by you or others.
12. Limitation of Liability
- Formora LLC and its affiliates are not liable for indirect, incidental, or punitive damages.
- Direct damages are limited to the amount paid for the Application.
- Certain jurisdictions may provide protections that override these limitations (e.g., EEA consumers).
13. Indemnification
You agree to indemnify and hold harmless Formora LLC from claims, damages, or expenses arising from your use of the Application or violation of this Agreement.
14. Export Regulation
You agree to comply with applicable U.S. export laws and not to export the Application to prohibited jurisdictions.
15. Dispute Resolution
- Attempt to resolve disputes in good faith directly with Formora LLC.
- Unresolved disputes will be settled via binding arbitration under the rules of the American Arbitration Association, except where prohibited by law.
16. Governing Law and Jurisdiction
- This Agreement is governed by the laws of Maryland, USA.
- Legal actions must be filed in federal or state courts in Baltimore, Maryland.
- You waive objections to jurisdiction or venue in these courts.
17. Changes to the Agreement
Formora LLC may update this Agreement. You will be notified via the Application or other reasonable means. Continued use constitutes acceptance of the updated terms.
18. Acceptance of Terms
By using the Application, you confirm that you accept and agree to this Agreement, including all updates and amendments.
